Terms of Service

1. Definitions
Capitalized terms used in these Terms have the meanings set out below.
"GatiFlow", "we", "us", "our" — the legal entity operating the GatiFlow platform.
"Customer", "you", "your" — the legal person who accepts these Terms by creating an account, or, in the case of a natural person, the individual who creates the account.
"Service" — the GatiFlow market and talent intelligence platform, accessible via web dashboard and API, including all reports, analytics, AI-generated narratives, webhooks, and related features.
"Subscription" — a paid plan (Starter, Pro, Business, or Enterprise) entitling you to use the Service for a defined billing period.
"Customer Data" — any data uploaded, transmitted, or otherwise provided to the Service by you, including but not limited to custom topics, API keys, webhook URLs, and account-configuration data.
"Service Data" — all data generated by GatiFlow from public sources, including raw signals, processed reports, AI narratives, confidence scores, and trend analytics.
"Output" — any report, narrative, score, ranking, alert, or other artifact produced by the Service and presented to you.
"AUP" — the GatiFlow Acceptable Use Policy, published at /aup and incorporated by reference.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by the AUP. If you do not agree, you must not use the Service.
If you accept these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity. Where you are a natural person, you must be at least eighteen (18) years of age or the age of majority in your place of residence, whichever is higher.
These Terms together with the AUP, the Privacy Policy, and any order form or written agreement signed between the parties form the entire agreement between you and GatiFlow.
3. Description of Service
GatiFlow is a software-as-a-service platform that aggregates public developer-ecosystem signals — including repository activity, package downloads, hiring posts, and community discussions — and produces market and talent intelligence in the form of daily reports, weekly digests, deep-dive analyses, and webhook alerts. Some Outputs are generated using large language models.
The Service is delivered through a web dashboard, a REST API, and email channels. Specific feature availability depends on your Subscription plan. Plan features and limits may be updated from time to time; material reductions to a paid plan's features or limits are communicated as set out in Section 19 (Modifications).
The Service is provided on an "as is" and "as available" basis. See Section 13 (Warranties; Disclaimers).
4. License Grant; Restrictions
Subject to these Terms and to payment of applicable fees, GatiFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the Subscription term for your internal business purposes.
You must not, and must not permit any third party to:
(a) Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or any Output, except as expressly permitted by these Terms or applicable law
(b) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, algorithms, or underlying ideas of the Service
(c) Remove or obscure any proprietary notice, trademark, or attribution
(d) Use the Service to build a competing product or to benchmark performance for publication without GatiFlow's prior written consent
(e) Circumvent rate limits, quotas, authentication, or any other security control
(f) Use the Service in violation of the AUP, applicable law, or the terms of service of any third-party data source from which the Service derives signals
Each violation of the foregoing restrictions is a material breach of these Terms.
5. Acceptable Use Policy
Your use of the Service is at all times subject to the AUP, published at /aup. The AUP forms an integral part of these Terms and is incorporated by reference. In the event of a conflict between these Terms and the AUP, the more restrictive provision controls.
We may update the AUP from time to time. Material updates are communicated to active Customers in accordance with Section 19 (Modifications).
6. Account Registration and Security
To use paid features of the Service, you must create an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of any credentials (passwords, API keys, webhook secrets, single-sign-on tokens) associated with the account.
You must immediately notify GatiFlow at security@gatiflow.io of any unauthorized access to the account or any other suspected breach of security. You are liable for all activity that occurs under your account until GatiFlow receives such notice and confirms revocation of compromised credentials.
GatiFlow may suspend or revoke account access where there is a credible threat to the security or integrity of the Service. Where practicable, GatiFlow provides advance notice and an opportunity to remediate.
7. Subscription, Fees, and Billing
7.1 Plans and pricing
GatiFlow offers a Free plan and paid Subscriptions: Starter ($49/mo), Pro ($149/mo), Business ($499/mo). Enterprise pricing is available on request. Plan features, quotas, and prices are displayed in the Service. Prices are exclusive of applicable taxes (see §7.5).
7.2 Billing cycle and renewal
Paid Subscriptions are billed in advance on a monthly basis (or annually where you have selected an annual plan) by automatic charge to the payment method on file. Subscriptions renew automatically for successive periods of the same length until you terminate the Subscription in accordance with Section 16.
7.3 Failed payments
Failed payments enter a grace period of up to seven (7) days during which GatiFlow may attempt re-collection. If payment is not received within the grace period, the Subscription is downgraded to the Free plan and access to paid features is suspended until payment is resolved.
Where the failed payment is the result of a 3D Secure or other strong-customer-authentication challenge, you are notified via email and prompted to complete authentication; no Subscription downgrade occurs while your payment is in the requires_action state and within the grace period.
7.4 Refunds
(a) Initial Subscription, 7-day cooling-off. If you cancel a NEW paid Subscription (not a renewal) within seven (7) calendar days of the original charge, you are entitled to a full refund upon written request to billing@gatiflow.io.
(b) Renewals. Renewal charges are non-refundable.
(c) Annual plans, mid-term cancellation. Where you cancel an annual Subscription before the end of the term, no pro-rata refund is provided unless required by mandatory consumer-protection law applicable in your jurisdiction.
(d) Downgrades. Downgrades to a cheaper plan take effect at the end of the current billing period; no partial refund is issued.
(e) GatiFlow-initiated termination for material breach by GatiFlow. Where GatiFlow terminates the Subscription for its own material breach, GatiFlow refunds any prepaid fees attributable to the unused portion of the Subscription period.
7.5 Taxes
Prices are exclusive of all applicable taxes (VAT, GST, sales tax, withholding tax, or similar). Where required by applicable law, GatiFlow or its payment processor (Stripe) collects and remits applicable taxes at checkout. You are responsible for any taxes assessed against your own use of the Service in your jurisdiction.
7.6 Free trial
New accounts receive a 14-day trial of Starter-tier features. No payment method is required to start the trial. AI narrative credits during the trial are limited to seven (7). At trial end the account automatically reverts to the Free plan unless you upgrade to a paid plan.
7.7 Price changes
GatiFlow may modify prices, plan features, or plan quotas from time to time. Changes take effect at the next renewal following at least thirty (30) days' written notice. If you do not accept the change, you may terminate the Subscription before the change takes effect, in which case the Subscription terminates at the end of the then-current billing period.
8. Service Levels and Availability
GatiFlow targets a monthly uptime of 99.5% for the production API and dashboard, measured as the percentage of minutes in the calendar month during which the public endpoints respond to authenticated requests with a non-5xx status code. Business and Enterprise Subscribers are entitled to service credits when the uptime target is missed, as set out in our Service Level Agreement; the SLA includes the measurement methodology and exclusions (scheduled maintenance, force majeure, third-party data-source outages). Free, Starter, and Pro Subscriptions are provided without service-credit remedies.
Data collection runs every 6 hours and depends on third-party source availability. Scheduled maintenance is communicated via email. Source outages result in graceful degradation — reports are generated from the sources that remain available.
9. Customer Data
9.1 Ownership
As between the parties, you retain all right, title, and interest in and to Customer Data.
9.2 License to GatiFlow
You grant GatiFlow a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely to the extent necessary to provide the Service to you and to comply with applicable law. GatiFlow does not sell Customer Data, and does not use Customer Data to train shared machine-learning models.
9.3 Customer responsibility
You represent and warrant that you have all rights and consents necessary to provide Customer Data to GatiFlow and that the provision and processing of Customer Data does not violate any applicable law, contract, or third-party right.
9.4 Privacy and data protection
The processing of personal data is governed by the Privacy Policy and, where applicable, by a Data Processing Agreement (DPA) executed between the parties. Where required by GDPR Art. 28 or analogous law, GatiFlow makes available a DPA template upon request.
10. AI Outputs and Generated Content
10.1 Nature of Outputs
Outputs (including reports, narratives, scores, rankings, summaries, and alerts) are generated by automated processes, including large language models. Outputs are statistical and probabilistic in nature and may contain errors, omissions, or inaccuracies.
Where an Output is generated wholly or partly by a large language model, the Service flags such content with a metadata field (metadata.ai_generated) and a visible indication in the user interface where practicable.
10.2 No guarantee of accuracy
GatiFlow does not guarantee that Outputs are accurate, complete, current, or fit for any particular purpose. Confidence scores represent statistical signal strength based on the underlying data, not certainty about real-world facts.
10.3 Customer's verification duty
You are solely responsible for independently verifying any Output before relying on it for business, hiring, investment, legal, financial, medical, or other consequential decisions.
10.4 Prohibited decision-making
You must not use any Output as the sole or primary basis for any decision producing legal effects concerning, or similarly significantly affecting, a natural person — including but not limited to hiring, promotion, termination, compensation, lending, insurance, housing, or law-enforcement decisions — without meaningful human review and the data subject's rights under applicable data-protection law. This restriction reflects, among other instruments, Article 22 of the EU General Data Protection Regulation and analogous provisions of the EU Artificial Intelligence Act. Further detail is set out in the AUP.
10.5 Allocation of risk
To the maximum extent permitted by law, GatiFlow disclaims liability for any decision you make in reliance on an Output, and you indemnify GatiFlow against third-party claims arising from such decisions, as further set out in Section 15.
11. Intellectual Property
11.1 GatiFlow property
GatiFlow retains all right, title, and interest in and to the Service, including all software, algorithms, models, databases (other than Customer Data), brand assets, Documentation, and any improvements or derivative works thereof. No rights are granted by implication, estoppel, or otherwise except as expressly set out in Section 4.
11.2 Service Data and Outputs
As between the parties, Service Data and Outputs are licensed to you for your internal business use during the Subscription term. You may share Output excerpts with attribution to GatiFlow, provided that the excerpts do not constitute a substantial part of any single Output and are not used to create a competing product. Republication of entire Outputs requires GatiFlow's prior written consent.
11.3 Feedback
If you provide any feedback, suggestions, ideas, or improvements regarding the Service, GatiFlow may use such feedback without restriction and without obligation to you.
12. Confidentiality
Each party may receive information of the other party that is marked or that reasonably should be understood as confidential ("Confidential Information"). Customer Data is your Confidential Information. The Service architecture, non-public roadmap, and commercial terms (including pricing not publicly displayed) are GatiFlow's Confidential Information.
The receiving party must (a) use Confidential Information solely to perform its obligations or exercise its rights under these Terms, (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information of similar importance and in no event less than reasonable care, and (c) not disclose Confidential Information to any third party except to its employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set out here.
Confidentiality obligations do not apply to information that (i) is or becomes generally available to the public other than by breach of these Terms, (ii) was rightfully in the receiving party's possession prior to disclosure, (iii) is rightfully obtained from a third party without restriction, or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.
13. Warranties; Disclaimers
GatiFlow warrants that it will provide the Service with reasonable skill and care and in accordance with applicable law.
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". GATIFLOW DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
GATIFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.
Nothing in this Section 13 limits any warranty implied by mandatory law that cannot be excluded by contract, including consumer-protection warranties applicable to natural persons acting outside their trade or profession.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
(b) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR ON ANY OTHER LEGAL THEORY, IS LIMITED TO THE FEES ACTUALLY PAID BY YOU TO GATIFLOW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD 100), WHICHEVER IS GREATER.
The limitations in this Section 14 do not apply to: (i) a party's indemnification obligations under Section 15; (ii) a party's breach of Section 12 (Confidentiality); (iii) your payment obligations; (iv) fraud, gross negligence, or willful misconduct; or (v) any liability that cannot be limited or excluded under applicable law.
15. Indemnification
15.1 By the Customer
You will indemnify, defend, and hold harmless GatiFlow and its officers, employees, and agents from and against any third-party claim, action, or proceeding (and any related damages, losses, settlements, and reasonable attorneys' fees) arising from or related to: (a) your use of the Service in breach of these Terms or the AUP; (b) your violation of any applicable law or third-party right (including data-protection law); (c) any decision you take in reliance on an Output, including decisions concerning natural persons made in violation of Section 10.4; or (d) the Customer Data.
15.2 By GatiFlow
GatiFlow will indemnify, defend, and hold harmless you from and against any third-party claim alleging that the Service, as provided by GatiFlow and used by you in accordance with these Terms, directly infringes a valid intellectual-property right of the third party. GatiFlow's liability under this Section 15.2 is subject to Section 14 and excludes claims arising from (i) modifications to the Service not made by GatiFlow, (ii) use of the Service in combination with other products not provided by GatiFlow, or (iii) Customer Data.
15.3 Procedure
The indemnified party must promptly notify the indemnifying party of any claim subject to indemnification, give the indemnifying party sole control of the defense and settlement of the claim (provided that no settlement may impose any obligation on the indemnified party without its prior written consent), and reasonably cooperate with the defense.
16. Term and Termination
These Terms commence on the date you first accept them and continue until the Subscription is terminated by either party in accordance with this Section.
16.1 Termination by the Customer
You may terminate the Subscription at any time via the account settings or by written notice to support@gatiflow.io. Termination takes effect at the end of the then-current billing period. You may also delete the account (irrevocable; see Section 16.4).
16.2 Termination by GatiFlow
GatiFlow may terminate or suspend the Subscription for material breach by you that is not cured within ten (10) days of written notice, or immediately and without notice in the case of: (a) your use of the Service in breach of the AUP in a manner that threatens the Service, other Customers, or third parties; (b) non-payment beyond the grace period in Section 7.3; or (c) where GatiFlow is required to terminate by applicable law or court order.
16.3 Effect of termination
Upon termination: (a) your right to access the Service ceases; (b) Subscription fees prepaid for periods after termination are refunded only as set out in Section 7.4; (c) Sections 1, 4, 7.4, 9.1, 9.3, 10.5, 11, 12, 13, 14, 15, 17–22 survive termination; and (d) each party returns or destroys the other party's Confidential Information upon written request, subject to retention rights granted by applicable law.
16.4 Account deletion and data retention
You may delete the account at any time from account settings. Account deletion is irrevocable and triggers permanent deletion of Customer Data in accordance with the Privacy Policy and applicable law (notably GDPR Art. 17). GatiFlow may retain anonymized or aggregated data that cannot be linked back to you for the purpose of improving the Service.
17. Force Majeure
Neither party is liable for failure to perform its obligations under these Terms (other than payment obligations) due to causes beyond its reasonable control, including without limitation: natural disasters, war, civil unrest, acts of terrorism, pandemic, government action, internet or telecommunications outages affecting a substantial portion of the internet, prolonged power outages, or denial-of-service attacks. The affected party must promptly notify the other party and use commercially reasonable efforts to resume performance.
If a force-majeure event continues for more than thirty (30) consecutive days, either party may terminate the affected Subscription with written notice.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which GatiFlow is established, without regard to conflict-of-law principles. Disputes arising from or relating to these Terms are subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except that:
(a) where you are a natural person acting outside your trade or profession, mandatory consumer-protection rules of your place of habitual residence grant you additional non-derogable rights, those rules apply to the extent required by law (Rome I Regulation Art. 6, Brazilian Consumer Defense Code, and analogous provisions);
(b) either party may seek urgent injunctive or interim relief in any court of competent jurisdiction without first complying with this Section; and
(c) where you are a business and the parties have agreed in writing to arbitration or mediation in an order form or separate agreement, that agreement governs in lieu of this Section.
19. Modifications
GatiFlow may modify these Terms or the AUP from time to time. Material modifications are notified to active Customers by email at least thirty (30) days before the effective date. Non-material modifications (clarifications, formatting, typographical corrections) may take effect immediately upon posting.
Continued use of the Service after the effective date of a modification constitutes acceptance of the modification. If you do not accept a material modification, you may terminate the Subscription before the effective date in accordance with Section 16.1, and prepaid fees attributable to the period after termination are refunded.
20. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without GatiFlow's prior written consent. Any purported assignment in violation of this Section is null and void.
GatiFlow may assign these Terms (a) to an affiliate, (b) in connection with a merger, acquisition, reorganization, or sale of all or substantially all of GatiFlow's assets, or (c) by operation of law, in each case with notice to you.
21. Notices
Notices to GatiFlow must be sent by email to legal@gatiflow.io. Notices to you are sent to the email address associated with your account or, where applicable, to a notice address designated in an order form. Notices are deemed given on the date of transmission (for email) absent evidence of non-delivery.
22. General
22.1 Entire agreement
These Terms, the AUP, the Privacy Policy, and any executed order form or DPA constitute the entire agreement between the parties with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
22.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision is replaced by an enforceable provision that most closely reflects the original intent.
22.3 Waiver
No waiver of any provision of these Terms is effective unless in writing and signed by the waiving party. A failure to enforce any provision does not constitute a waiver of any other or subsequent enforcement.
22.4 No third-party beneficiaries
These Terms do not create any rights for, or confer any benefits upon, any third party.
22.5 Independent contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
22.6 Export control and sanctions
You represent that you are not (a) located in, or a national of, any country subject to a comprehensive government embargo or sanctions; or (b) listed on any government list of prohibited or restricted parties. You must comply with all applicable export-control and sanctions laws in connection with the Service.
